UBS agrees emergency takeover of Credit Suisse

Published Factrail editorial research

Acquisition of Credit Suisse by UBS

Swiss authorities brokered a share transaction backed by liquidity and guarantees after confidence in Credit Suisse collapsed.

Report

UBS agreed on 19 March 2023 to acquire Credit Suisse in an emergency transaction arranged with Swiss authorities. The all-share deal valued Credit Suisse at about three billion Swiss francs and was supported by central-bank liquidity and a government loss-protection arrangement.

Credit Suisse had suffered years of scandals, losses and client outflows. Pressure accelerated after the failures of US regional banks and a major shareholder said it would not increase its stake. The bank obtained central-bank liquidity, but the measure did not restore enough market confidence before the weekend negotiation.

Swiss regulators ordered Credit Suisse's additional tier-one bonds written down to zero while shareholders received UBS stock. The treatment generated legal challenges and debate about capital hierarchy. A regulatory action under emergency rules is not equivalent to a normal bankruptcy distribution.

Announcement did not complete every part of the merger immediately. Competition reviews, integration, job changes and financial results developed later. Government guarantees and liquidity facilities also were not the same as a confirmed taxpayer loss.

Statements by UBS, the Swiss government, central bank and regulator establish the terms announced. This item records the forced weekend solution to prevent disorderly failure of a globally systemic bank. It leaves judgments about supervisory responsibility and the merger's ultimate cost to subsequent investigations and accounts.

Credit Suisse retained a separate legal identity during the integration period, and customers continued using services while UBS assumed control. Operational continuity was an objective of the rescue, not evidence that the acquired bank's prior losses or compliance problems had disappeared.
