Elon Musk completes $44 billion acquisition of Twitter

Elon Musk

The deal took Twitter private after months of litigation and placed the social network under Musk's control.

Report

Elon Musk completed his acquisition of Twitter on 27 October 2022 in a transaction valued at about 44 billion dollars. The company became privately held, its shares stopped trading and Musk assumed control after the parties closed a deal first agreed in April.

The path to closing included Musk's attempt to terminate the agreement, Twitter's lawsuit in Delaware and preparations for a trial. Closing ended that specific litigation because the buyer performed the contract; it did not decide every public dispute about bots, disclosures or platform governance.

Musk dismissed senior executives and soon began major workforce and product changes. Those actions occurred after control transferred and should be reported on their own dates. Ownership of the company also did not make every post by a user a statement by its owner.

Securities filings and court notices establish the price, financing and completion. The commonly cited 44-billion-dollar figure represents the equity transaction valuation and should not be confused with later estimates of company value or debt carried by the acquisition structure.

Twitter was later renamed X, but the 2022 company and deal were legally documented under the Twitter name. This News item preserves that historical identity. It records a transfer of corporate control with major consequences for a public communications platform, while leaving evaluation of moderation, finances and user impact to measured follow-up evidence. Users did not become parties to the purchase merely by holding accounts.
